1. Agreement to Terms

By accessing or using our website located at www.goldenratiogallery.shop (“Website”), visiting our physical gallery location, or purchasing any products or services from Golden Ratio Gallery (“we”, “us”, “our”, “Gallery”), you (“you”, “your”, “Customer”, “Client”) agree to be bound by these Terms of Service (these “Terms”) and our Privacy Policy. If you do not agree to all of these Terms, do not use the Website, visit the gallery, or purchase from us.

2. Scope of Services

We operate a brick-and-mortar gallery and an e-commerce platform offering consigned art, custom-built and refurbished furniture, décor pieces, plants, and related items (collectively “Products”). These Terms apply to all purchases of Products, as well as any ancillary services (e.g., custom furniture builds, consultations) (collectively “Services”).

3. Eligibility

You must be at least 18 years old (or of legal age in your jurisdiction) and capable of entering into legally binding agreements to use the Website or purchase from the Gallery. By placing an order or using the Website, you represent and warrant that you meet this requirement.

4. Orders, Pricing & Payment

  • All orders placed through the Website or in-store are subject to acceptance by us. We may refuse or cancel any order for any reason, including stock unavailability, errors in pricing or description, or suspected fraud.

  • Prices displayed on the Website are in U.S. dollars and exclusive of applicable taxes, shipping and handling fees (unless otherwise stated). We reserve the right to change prices at any time and to correct errors or omissions.

  • Payment must be made at checkout (online) or at the time of purchase (in-store). We accept the payment methods listed on the Website or in-store; by supplying a payment method you represent that you are authorized to use it.

  • If you pay online, you authorize us to charge your payment method for the total indicated in your order (including tax, shipping, handling).

  • Risk of loss and title for Products purchased online pass to you upon our delivery to the carrier.

5. Shipping, Delivery & In-Store Pickup

  • For online orders, we will arrange shipment of the Products to the shipping address you provide. Delivery times are estimates only and cannot be guaranteed.

  • You are responsible for providing accurate shipping information. We are not liable for delayed or failed delivery due to incorrect address or third-party carrier fault.

  • In-store pickup: If you choose to collect your purchase at our gallery, you will be notified when it is ready. We will hold it for the period specified; after that period the order may be canceled and refunds subject to our refund policy.

  • Any customs, duties, or taxes for deliveries outside the U.S. are your responsibility.

6. Returns, Refunds & Exchanges

  • Unless otherwise stated, online purchases may be returned or exchanged only under the conditions described in our separate Refund & Return Policy (which is incorporated here by reference).

  • In-store purchases follow the in-store return policy posted in the gallery and available upon request.

  • Products marked “Final Sale” or “Custom Made” (such as custom-built furniture) may not be returned or refunded except as required by law.

7. Intellectual Property

  • All content on the Website (including text, images, graphics, logos, illustrations, audio clips, video clips) is our property or the property of our licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

  • You may view and print a copy of material from the Website for your personal, non-commercial use only. Any other use (reproduction, modification, distribution, transmission) is strictly prohibited unless we grant prior written consent.

  • If you submit feedback, ideas, or suggestions to us regarding the Website or our Services (“Feedback”), you grant us a worldwide, irrevocable, transferrable, royalty-free license to use that Feedback for any purpose.

8. User Conduct

When using the Website or visiting our gallery, you agree not to:

  • Impersonate any person or entity or misrepresent your affiliation;

  • Use any automated means (bots, scripts) to access or interact with the Website or circumvent access controls;

  • Violate any applicable local, state, national, or international law;

  • The Website and all Products and Services are provided “as is” and “as available,” without warranty of any kind, whether express or implied (including warranties of merchantability, fitness for a particular purpose, non-infringement).

  • We do not guarantee that the Website will be uninterrupted or error-free, or that any defects will be corrected.

  • To the fullest extent permitted by law, in no event shall we, our officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, or business interruption arising out of or related to your use of the Website, your purchase of Products or Services, or inability to do so.

You agree to defend, indemnify, and hold harmless the Gallery, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your: (a) use of the Website; (b) purchase of Products or Services; (c) violation of these Terms; (d) infringement of any third-party rights.

11. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws rules.

  • Any dispute arising out of or relating to these Terms, the Website, or the Products or Services shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida. By using the Website or purchasing from us, you assent to the personal jurisdiction of those courts.

12. Modification of Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If changes are material, we will provide notice either by posting prominently on the Website or via email to registered users. Your continued use of the Website or purchase of Products after such changes constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable in any respect, the remaining provisions shall remain in full force and effect and shall be construed as if the invalid or unenforceable part were omitted.

14. Entire Agreement

These Terms (along with our Privacy Policy and any other policy expressly incorporated by reference) constitute the entire agreement between you and the Gallery with respect to your use of the Website and purchase of Products and Services, and supersede all prior or contemporaneous agreements, representations, warranties, whether oral or written, regarding such subject matter.
